ESTABLISHING REPRESENTATIVE OFFICE IN INDONESIA – Pendirian Kantor Perwakilan Asing di Indonesia

Under this memo will be elaborate establishing a foreign company representative office under Capital Investment Coordinating Board (“BKPM”) Decisions No. 22/SK/2001 on implementation regulation of President Decree No. 90 of 2000 on Foreign Company Representative Office.

Representative office is established to manage the interests of the company or affiliated companies in Indonesia and/or in another country and/or preparing the establishment and development of foreign investment companies in Indonesia and/or other countries. This office has a limited authority among other thing are:

  1. representative office has limited activities only as a a supervisor, liaison, coordinator, and manage the interests of the company or its affiliated companies or countries in Indonesia and outside Indonesia.
  2. representative office is prohibited to obtain income from in Indonesia territory, including to carrying out activities or do anything of the engagement/sales and purchases of goods or services with companies or individuals in Indonesia.
  3. representative office will not participate in any form of management of an company, subsidiary or branch companies in Indonesia.

Representative office shall have its domicile in the province capital city and shall comply with prevailing regulation in Indonesia.

Following is the action plan shall be conducted by headquarter office or its proxy to establishing representative office in Indonesia.

Complete an application (using a standard form issued by BKPM) and submit the Application together with its attachment to the (“BKPM“)

  1. Application form (KPPA form);
  2. Copy of Articles of Association and its amendment of the head office (parent company);
  3. a letter of appointment from the head office (parent company) to the Head of the Representative Office;
  4. copy of valid passport (for expatriate) or identity card/KTP (for Indonesian) of proposed Head of the Representative Office;
  5. statement letter from the Head of the Representative Office concerning the willingness to stay and only work in the position as the Head of the Representative Office without doing any other business in Indonesia; and
  6. power of attorney (if necessary).

BKPM issues the approval on the establishment of Representative Office (“BKPM Approval“)

BKPM Approval

+/- 5 (five) working days after the date of the complete submission application.

Obtaining Letter of Domicile (Surat Keterangan Domisili) from the relevant building management and head of village

  • BKPM Approval;
  • Copy of Identity Card/Passport of the Head of the Representative Office

+/- 2 (two) working days (if to be obtained from building management) and 6 days (if to be obtained from relevant head of village)

Obtaining Taxpayer Registration Number (Nomor Pokok Wajib Pajak – “NPWP“) of the Representative Office from the relevant Tax Service Office

  • BKPM Approval;
  • Copy of Identity Card/Passport of the Head of the Representative Office
  • Letter of Domicile

+/- 1 (one) week

Registration of the Representative Office in the Company Register at the Company Registration Office of the Department of Trade in order to obtain a Company Registration Certificate (Tanda Daftar Perusahaan – “TDP“)

  • BKPM Approval;
  • NPWP
+/- 2 (two) weeks
